These Terms of Service ("Terms") form a binding agreement between you and Loop House LLC, trading as ConCal ("ConCal," "we," "us," or "our"), governing your access to and use of concal.ai, our applications, and related services (collectively, the "Service"). By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Notice. If you use the Service for an organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation.
ConCal provides content planning, AI-assisted content creation, brand and asset management, social-media scheduling and publishing, calendar features, collaboration tools, analytics, and related functionality. Features may vary by plan, platform, geography, or connected third-party service. We may improve, add, remove, suspend, or replace features where reasonably necessary, including to address security, legal, technical, or third-party platform changes.
The Service may connect with social networks, calendars, payment processors, artificial-intelligence providers, and other third parties. Your use of those services remains subject to their own terms and policies. You authorise ConCal and its providers to access, process, and transmit the information required to perform actions you request. We do not control third-party platforms and are not responsible for their downtime, API restrictions, account suspensions, moderation decisions, failed or delayed posts, data loss, or changes in functionality.
"Customer Content" means content, prompts, text, images, files, brand information, comments, messages, schedules, and other materials submitted to or created through your account. As between you and ConCal, you retain ownership of Customer Content. You grant ConCal and its subprocessors a worldwide, non-exclusive, royalty-free licence to host, copy, process, modify, transmit, display, and publish Customer Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and carry out your instructions. This licence ends when the content is deleted, subject to backups, legal obligations, and content already published to third-party platforms.
You represent that you have all rights, permissions, and lawful bases necessary for Customer Content and its use, including rights relating to copyrights, trademarks, publicity, privacy, personal data, music, images, and endorsements.
Participation in any ConCal affiliate, creator, or referral program is subject to separate program terms. Partners must disclose material connections clearly and conspicuously in each endorsement, make only truthful claims based on genuine experience, avoid misleading earnings or performance claims, and comply with advertising laws and platform rules. We may withhold or reverse commissions associated with fraud, self-referrals, chargebacks, refunds, prohibited traffic, undisclosed endorsements, or breach of program terms.
The Service, software, interfaces, designs, trademarks, documentation, and all related intellectual property are owned by ConCal or its licensors. Except for the limited right to use the Service during an active account, no rights are transferred to you. Feedback may be used by ConCal without restriction or payment, provided it does not identify you or disclose confidential information.
Each party may receive non-public business, technical, or commercial information from the other. The receiving party will use such information only for the relationship, protect it using reasonable care, and disclose it only to personnel and providers who need to know and are bound by confidentiality obligations. This does not apply to information that is public without breach, independently developed, rightfully received from another source, or required to be disclosed by law.
We maintain reasonable administrative, technical, and organisational safeguards appropriate to the nature of the Service. You are responsible for your account configuration, users, devices, exports, and connected accounts. Where ConCal processes personal data on behalf of a business customer, the parties may enter into ConCal's Data Processing Addendum. No system is completely secure, and we cannot guarantee that unauthorised access will never occur.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access where reasonably necessary to address non-payment, security risk, legal requirements, harm to the Service or third parties, or a material breach. Where practicable, we will provide notice and an opportunity to cure. On termination, your right to use the Service ends. You should export Customer Content before termination. We may delete data after the retention period described in our Privacy Notice.
Features identified as alpha, beta, preview, early access, or experimental may be incomplete, change without notice, and be discontinued. They are provided for evaluation, may have additional risks, and may not be covered by support or service commitments.
To the maximum extent permitted by law, the Service is provided "as is" and "as available." ConCal disclaims implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not guarantee social-media reach, engagement, sales, revenue, audience growth, platform approval, or any particular business result.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Subject to that, ConCal will not be liable for indirect, incidental, special, consequential, punitive, or exemplary loss; loss of profits, revenue, goodwill, opportunity, anticipated savings, data, or business interruption; or losses caused by third-party platforms, AI outputs, content publication, account suspension, or your failure to secure an account. ConCal's aggregate liability arising out of the Service will not exceed the greater of (a) the fees paid or payable by you during the 12 months before the event giving rise to liability or (b) £100.
If you use the Service for business purposes, you will indemnify and hold harmless ConCal and its officers, employees, and providers from third-party claims, damages, costs, and reasonable legal fees arising from your Customer Content, connected accounts, breach of these Terms, violation of law or platform rules, or infringement of third-party rights. This indemnity does not apply to the extent a claim results from ConCal's breach, negligence, or wilful misconduct.
We may update these Terms to reflect legal, security, technical, or business changes. We will post the revised Terms and update the date. For material changes, we will provide reasonable notice where required. Continued use after the effective date constitutes acceptance, except where law requires affirmative consent.
These Terms are governed by the laws of the State of Wyoming and applicable federal law, without regard to conflict-of-law rules. Except where mandatory consumer law permits otherwise, the state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from these Terms or the Service. Before filing a claim, each party agrees to give written notice describing the dispute and to attempt in good faith to resolve it for at least 30 days. Consumers retain any mandatory rights and venues available under the law of their place of residence.
These Terms, the Privacy Notice, any order form, and any incorporated program or data-processing terms form the entire agreement. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. Failure to enforce a term is not a waiver. You may not assign the agreement without our consent; we may assign it in connection with a merger, reorganisation, financing, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control. Headings are for convenience only.
