Terms of Service

1. About These Terms

These Terms of Service ("Terms") form a binding agreement between you and Loop House LLC, trading as ConCal ("ConCal," "we," "us," or "our"), governing your access to and use of concal.ai, our applications, and related services (collectively, the "Service"). By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms and our Privacy Notice. If you use the Service for an organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation.

2. Eligibility and Accounts

• You must be at least 18 years old and legally capable of entering into a contract.
• You must provide accurate, current information and keep it updated.
• You are responsible for safeguarding credentials, configuring permissions, and all activity under your account and workspaces.
• You must notify us promptly at hello@concal.ai if you suspect unauthorized access.
• You may not share login credentials except through authorised team features.

3. The Service

ConCal provides content planning, AI-assisted content creation, brand and asset management, social-media scheduling and publishing, calendar features, collaboration tools, analytics, and related functionality. Features may vary by plan, platform, geography, or connected third-party service. We may improve, add, remove, suspend, or replace features where reasonably necessary, including to address security, legal, technical, or third-party platform changes.

4. Connected Platforms and Third-Party Services

The Service may connect with social networks, calendars, payment processors, artificial-intelligence providers, and other third parties. Your use of those services remains subject to their own terms and policies. You authorise ConCal and its providers to access, process, and transmit the information required to perform actions you request. We do not control third-party platforms and are not responsible for their downtime, API restrictions, account suspensions, moderation decisions, failed or delayed posts, data loss, or changes in functionality.

5. Subscriptions, Trials, Billing, and Taxes

• Paid plans are billed in advance in United States dollars (USD) at the frequency and price shown at checkout.
• Unless stated otherwise, subscriptions automatically renew for successive periods until cancelled.
• You authorise Stripe, our payment processor, to charge the payment method on file for recurring fees, applicable taxes, and other charges disclosed at checkout.
• You must cancel before the renewal date to avoid the next charge. Cancellation takes effect at the end of the current paid period unless applicable law requires otherwise.
• Fees are non-refundable except where required by law or expressly stated in a written refund policy.
• We may change prices on reasonable advance notice, with changes applying from the next renewal.
• Prices exclude applicable sales tax, VAT, GST, and similar transaction taxes unless expressly stated otherwise. Stripe Tax may calculate and collect those taxes based on your billing information, location, and applicable law. You are responsible for taxes that we are not legally required to collect, excluding taxes imposed on Loop House LLC's income.
• Free trials and promotional offers may be limited to one per customer and may convert to a paid plan if clearly disclosed at signup.
• Consumer rights: If you are a consumer, mandatory consumer-protection rights in your state or country are not excluded. For customers in the United Kingdom, European Economic Area, or other jurisdictions with statutory cancellation rights for digital services, checkout must provide any required disclosures, consent to immediate performance, and acknowledgement regarding loss of cancellation rights.

6. Customer Content and Ownership

"Customer Content" means content, prompts, text, images, files, brand information, comments, messages, schedules, and other materials submitted to or created through your account. As between you and ConCal, you retain ownership of Customer Content. You grant ConCal and its subprocessors a worldwide, non-exclusive, royalty-free licence to host, copy, process, modify, transmit, display, and publish Customer Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and carry out your instructions. This licence ends when the content is deleted, subject to backups, legal obligations, and content already published to third-party platforms.

You represent that you have all rights, permissions, and lawful bases necessary for Customer Content and its use, including rights relating to copyrights, trademarks, publicity, privacy, personal data, music, images, and endorsements.

7. AI Features

• AI outputs are generated from prompts, Customer Content, and automated systems and may be inaccurate, incomplete, biased, offensive, non-unique, or unsuitable.
• You must independently review, edit, fact-check, and approve all outputs before publication or reliance.
• You are responsible for ensuring outputs comply with law, platform rules, advertising standards, professional obligations, and third-party rights.
• ConCal does not guarantee ownership, copyright protection, originality, non-infringement, accuracy, or fitness of AI outputs.
• You must not use AI features for high-risk decisions about employment, credit, housing, insurance, healthcare, legal rights, or other consequential matters without appropriate human review and lawful safeguards.
• ConCal will not use Customer Content to train public or shared AI models without your consent, but third-party AI providers may process content as described in our Privacy Notice and their contractual terms.

8. Acceptable Use

• No unlawful, fraudulent, deceptive, defamatory, harassing, hateful, exploitative, or abusive use.
• No infringement or misappropriation of intellectual-property, privacy, publicity, confidentiality, or other rights.
• No spam, unsolicited bulk messaging, fake engagement, platform manipulation, impersonation, undisclosed synthetic media intended to deceive, or prohibited political advertising.
• No malware, credential theft, scraping contrary to law or platform terms, security testing without written permission, or attempts to bypass limits or access controls.
• No reverse engineering, decompilation, resale, sublicensing, or creation of a competing service using non-public elements, except where law prohibits such restrictions.
• No use that places unreasonable load on the Service or enables another person to violate these Terms.
• No uploading of special-category or highly sensitive personal data unless expressly supported and lawfully processed.

9. Affiliate and Referral Program

Participation in any ConCal affiliate, creator, or referral program is subject to separate program terms. Partners must disclose material connections clearly and conspicuously in each endorsement, make only truthful claims based on genuine experience, avoid misleading earnings or performance claims, and comply with advertising laws and platform rules. We may withhold or reverse commissions associated with fraud, self-referrals, chargebacks, refunds, prohibited traffic, undisclosed endorsements, or breach of program terms.

10. Intellectual Property

The Service, software, interfaces, designs, trademarks, documentation, and all related intellectual property are owned by ConCal or its licensors. Except for the limited right to use the Service during an active account, no rights are transferred to you. Feedback may be used by ConCal without restriction or payment, provided it does not identify you or disclose confidential information.

11. Confidentiality

Each party may receive non-public business, technical, or commercial information from the other. The receiving party will use such information only for the relationship, protect it using reasonable care, and disclose it only to personnel and providers who need to know and are bound by confidentiality obligations. This does not apply to information that is public without breach, independently developed, rightfully received from another source, or required to be disclosed by law.

12. Security and Data Protection

We maintain reasonable administrative, technical, and organisational safeguards appropriate to the nature of the Service. You are responsible for your account configuration, users, devices, exports, and connected accounts. Where ConCal processes personal data on behalf of a business customer, the parties may enter into ConCal's Data Processing Addendum. No system is completely secure, and we cannot guarantee that unauthorised access will never occur.

13. Suspension and Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access where reasonably necessary to address non-payment, security risk, legal requirements, harm to the Service or third parties, or a material breach. Where practicable, we will provide notice and an opportunity to cure. On termination, your right to use the Service ends. You should export Customer Content before termination. We may delete data after the retention period described in our Privacy Notice.

14. Beta Features

Features identified as alpha, beta, preview, early access, or experimental may be incomplete, change without notice, and be discontinued. They are provided for evaluation, may have additional risks, and may not be covered by support or service commitments.

15. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." ConCal disclaims implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not guarantee social-media reach, engagement, sales, revenue, audience growth, platform approval, or any particular business result.

16. Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Subject to that, ConCal will not be liable for indirect, incidental, special, consequential, punitive, or exemplary loss; loss of profits, revenue, goodwill, opportunity, anticipated savings, data, or business interruption; or losses caused by third-party platforms, AI outputs, content publication, account suspension, or your failure to secure an account. ConCal's aggregate liability arising out of the Service will not exceed the greater of (a) the fees paid or payable by you during the 12 months before the event giving rise to liability or (b) £100.

17. Indemnity

If you use the Service for business purposes, you will indemnify and hold harmless ConCal and its officers, employees, and providers from third-party claims, damages, costs, and reasonable legal fees arising from your Customer Content, connected accounts, breach of these Terms, violation of law or platform rules, or infringement of third-party rights. This indemnity does not apply to the extent a claim results from ConCal's breach, negligence, or wilful misconduct.

18. Changes to These Terms

We may update these Terms to reflect legal, security, technical, or business changes. We will post the revised Terms and update the date. For material changes, we will provide reasonable notice where required. Continued use after the effective date constitutes acceptance, except where law requires affirmative consent.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming and applicable federal law, without regard to conflict-of-law rules. Except where mandatory consumer law permits otherwise, the state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from these Terms or the Service. Before filing a claim, each party agrees to give written notice describing the dispute and to attempt in good faith to resolve it for at least 30 days. Consumers retain any mandatory rights and venues available under the law of their place of residence.

20. General

These Terms, the Privacy Notice, any order form, and any incorporated program or data-processing terms form the entire agreement. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. Failure to enforce a term is not a waiver. You may not assign the agreement without our consent; we may assign it in connection with a merger, reorganisation, financing, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control. Headings are for convenience only.
